Terms & Conditions

Last updated: October 15, 2026 · Effective for engagements starting on or after that date.

These Terms and Conditions (the “Terms”) govern the use of the website vmbconsultingllc.com and the provision of services by VMB Consulting LLC (“VMB”, “we”, “us”), a limited liability company organized under the laws of the State of New Mexico, United States, with registered address at 2201 Menaul Blvd NE, Ste A, Albuquerque, NM 87107, USA. By requesting a proposal, signing a service agreement, paying an invoice or using this website, you (“the Client”, “you”) agree to these Terms.

1. Services

VMB provides digital marketing and business consulting services to companies and self-employed professionals, including: marketing and growth strategy; video content strategy, editing and production for platforms such as YouTube and Instagram; design and development of websites and landing pages; implementation and management of CRM and marketing automation platforms (including GoHighLevel); email marketing; design and build of sales funnels; and one-to-one advisory sessions.

The specific services, deliverables, timeline and fees for each engagement are set out in a written proposal and service agreement (together, the “Agreement”). Where these Terms and an Agreement differ, the Agreement prevails for that engagement.

2. Who we work with

Our services are offered to businesses and professionals. By contracting with us you confirm that you are at least 18 years old, that you are acting for business purposes, and that you have authority to bind the company you represent.

VMB is a US company and complies with the sanctions programs administered by the Office of Foreign Assets Control (OFAC). We do not provide services to persons or entities located in, organized under the laws of, or ordinarily resident in a comprehensively sanctioned jurisdiction, or listed on a US sanctions list.

We do not accept engagements whose main activity involves adult content, gambling, cryptocurrency exchange or trading, multi-level marketing, weapons, controlled substances, or any activity that is unlawful in the United States or in the Client’s country. We may decline or terminate an engagement if we learn that the Client’s activity falls into one of these categories.

3. Proposals and agreements

Every engagement begins with a written proposal describing scope, deliverables, timeline and fees. Work starts only once the Client has accepted the proposal in writing (including by email) and the first invoice has been paid. Proposals are valid for 30 days unless stated otherwise.

Work requested outside the agreed scope is quoted separately and is not started until approved in writing.

4. Fees, invoicing and payment

Fees are stated in US dollars or euros, as indicated in the Agreement, and exclude any taxes, bank charges or currency conversion costs that may apply on the Client’s side. Monthly services start at USD 500 per month; the final fee for each engagement depends on scope and is fixed in the proposal.

All invoices are issued by VMB Consulting LLC and are payable only to bank accounts held in the name of VMB Consulting LLC. We never ask clients to pay a third party on our behalf, and we do not accept payments intended for third parties.

Monthly retainers are invoiced at the beginning of each month, in advance, and are due within 7 days. Projects are invoiced according to the milestones in the proposal; unless stated otherwise, 50% on signing and 50% on delivery. Advisory sessions are paid before the session.

Payment may be made by bank transfer (local or international) or by card through our payment processor. If an invoice remains unpaid 15 days after its due date, VMB may pause work until payment is received; deliverables are released on payment.

5. Term, renewal and cancellation

Retainers have a minimum initial term of three months unless the Agreement states otherwise, and continue month to month thereafter. Either party may end a retainer with 30 days’ written notice; fees for the notice period remain payable.

Projects end on delivery of the final deliverables. If the Client cancels a project after work has started, fees for work completed to date, and in any case the initial payment, are not refundable.

VMB may end an engagement immediately, with written notice, if the Client breaches these Terms, fails to pay, provides false information, or if continuing would expose VMB to legal or reputational risk.

6. Refunds

Because our services involve time and work that cannot be returned, fees for work already performed are not refundable. If VMB is unable to deliver an agreed deliverable for reasons attributable to VMB, the Client is entitled to a refund of the portion of the fee corresponding to the undelivered work. Refund requests must be sent in writing to info@vmbconsultingllc.com. Full details are in our Refund Policy.

7. Client responsibilities

The Client agrees to provide, in a timely manner, the access, materials, information and approvals needed to perform the services (for example: brand assets, raw footage, platform access, product information and feedback on drafts). Delays in providing these may extend timelines and are not grounds for refund.

The Client is responsible for the accuracy and legality of the content, claims and offers it asks us to publish, and for compliance with the laws applicable to its own business, including advertising, consumer protection and data protection rules in its country.

8. Third-party platforms

Our services rely on third-party platforms such as YouTube, Instagram, Meta, Google, GoHighLevel, email service providers and hosting providers. These platforms have their own terms and may change features, pricing or policies, or suspend accounts, without notice. VMB is not responsible for the availability, decisions or policy changes of third-party platforms. Subscriptions to such platforms are contracted and paid by the Client in its own name unless the Agreement states otherwise.

9. No guarantee of results

Marketing outcomes depend on many factors outside our control, including the Client’s offer, pricing, market, budget and the behavior of platforms and audiences. VMB commits to delivering the agreed services with professional care, but does not guarantee any specific level of views, followers, leads, sales or revenue.

10. Intellectual property

On full payment of the corresponding fees, the Client owns the final deliverables created specifically for it (videos, pages, copy, designs, automations). VMB retains ownership of its methods, templates, processes, pre-existing materials and know-how, and grants the Client a non-exclusive license to use them as part of the deliverables.

Unless the Client objects in writing, VMB may refer to the Client as a client and show delivered work in its own portfolio, without disclosing confidential information.

11. Confidentiality and data

Each party will keep confidential the non-public information it receives from the other in the course of the engagement and use it only to perform the Agreement. This obligation survives the end of the engagement for three years.

Where VMB processes personal data of the Client’s customers or leads (for example in a CRM or email list), it does so on the Client’s instructions and as a processor; the Client remains responsible for having a lawful basis to collect and use that data. Details are in our Privacy Policy.

12. Limitation of liability

To the maximum extent permitted by law, VMB’s total liability arising from or related to an engagement is limited to the fees paid by the Client under that engagement in the 12 months preceding the claim. VMB is not liable for indirect or consequential losses, loss of profit, loss of business or loss of data.

13. Indemnity

The Client will indemnify VMB against third-party claims arising from content, claims, offers or materials the Client provided or approved, from the Client’s products or services, or from the Client’s breach of these Terms or of applicable law.

14. Communications

Email is the official channel between the parties. Notices sent to the email addresses stated in the Agreement are deemed received on the business day after sending. Project communication may also take place on a shared board or messaging tool agreed with the Client.

15. Governing law and disputes

These Terms and every Agreement are governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law rules. The parties will first try to resolve any dispute directly and in good faith for 30 days. Any dispute not resolved in that period will be settled by binding arbitration in Albuquerque, New Mexico, on an individual basis; the parties waive class actions. Claims must be brought within two years of the event giving rise to them.

16. General

The Client may not assign an Agreement without VMB’s written consent. If any provision of these Terms is held invalid, the rest remains in force. VMB may update these Terms by publishing a new version on this page; the version in force when an Agreement is signed applies to that Agreement. VMB may comply with lawful requests from competent authorities without breaching its confidentiality obligations.
